Jeho pr\u00e1vne postavenie sa riadi predov\u0161etk\u00fdm obchodnopr\u00e1vnymi predpismi (Obchodn\u00fd z\u00e1konn\u00edk) a vn\u00fatorn\u00fdmi dokumentmi spolo\u010dnosti (spolo\u010densk\u00e1 zmluva\/zakladate\u013esk\u00e1 listina, stanovy, rokovac\u00ed poriadok). Na rozdiel od pracovnopr\u00e1vneho vz\u0165ahu nejde o z\u00e1visl\u00fa pr\u00e1cu pod\u013ea Z\u00e1konn\u00edka pr\u00e1ce; v\u00fdkon funkcie je osobitn\u00fd korpor\u00e1tny vz\u0165ah so svojimi pravidlami, pr\u00e1vami a povinnos\u0165ami.<\/p>\n<h2>Vymenovanie, vznik funkcie a z\u00e1pis do registra<\/h2>\n<p>Konate\u013ea menuje a odvol\u00e1va valn\u00e9 zhroma\u017edenie alebo zakladate\u013e v s\u00falade so spolo\u010denskou zmluvou. Funkcia spravidla vznik\u00e1 vymenovan\u00edm (prijat\u00edm funkcie) a \u00fa\u010dinky vo\u010di tret\u00edm osob\u00e1m nast\u00e1vaj\u00fa z\u00e1pisom do obchodn\u00e9ho registra. Vn\u00fatorn\u00e9 predpisy m\u00f4\u017eu vy\u017eadova\u0165 predch\u00e1dzaj\u00faci s\u00fahlas dozorn\u00e9ho org\u00e1nu alebo spolo\u010dn\u00edkov.<\/p>\n<h2>Zmluva o v\u00fdkone funkcie vs. mand\u00e1tna zmluva<\/h2>\n<p>V praxi sa pou\u017e\u00edvaj\u00fa dva modely \u00fapravy vz\u0165ahu medzi spolo\u010dnos\u0165ou a \u0161tatut\u00e1rom:<\/p>\n<ul>\n<li><strong>Zmluva o v\u00fdkone funkcie<\/strong> \u2013 \u0161peci\u00e1lny typ zmluvy pod\u013ea obchodn\u00e9ho pr\u00e1va. Schva\u013euje ju pr\u00edslu\u0161n\u00fd org\u00e1n spolo\u010dnosti (typicky valn\u00e9 zhroma\u017edenie). Upravuje rozsah opr\u00e1vnen\u00ed, odmenu, povinnosti, ml\u010danlivos\u0165, z\u00e1kaz konkurencie, reporting a zodpovednostn\u00e9 pravidl\u00e1. V mnoh\u00fdch situ\u00e1ci\u00e1ch ide o preferovan\u00fd a odpor\u00fa\u010dan\u00fd n\u00e1stroj, ke\u010f\u017ee presne \u201esed\u00ed\u201c na korpor\u00e1tny vz\u0165ah a reflektuje povahu funkcie.<\/li>\n<li><strong>Mand\u00e1tna zmluva<\/strong> \u2013 v\u0161eobecn\u00fd obchodnopr\u00e1vny typ zmluvy, v ktorej sa mandat\u00e1r zav\u00e4zuje pre mandanta obstara\u0165 veci s odbornou starostlivos\u0165ou. V minulosti sa pou\u017e\u00edvala ako univerz\u00e1lny r\u00e1mec pre v\u00fdkon funkcie; dnes je vhodn\u00e1 sk\u00f4r doplnkovo alebo v \u0161pecifick\u00fdch scen\u00e1roch (napr. do\u010dasn\u00e9 poverenie, osobitn\u00e1 agenda mimo be\u017en\u00e9ho v\u00fdkonu funkcie). Ak sa pou\u017eije, mus\u00ed by\u0165 z\u00e1rove\u0148 zos\u00faladen\u00e1 so \u0161pecifikami v\u00fdkonu funkcie \u0161tatut\u00e1ra a schv\u00e1len\u00e1 pr\u00edslu\u0161n\u00fdm org\u00e1nom.<\/li>\n<\/ul>\n<p>Bez oh\u013eadu na zvolen\u00fd typ zmluvy je <strong>p\u00edsomn\u00e1 forma<\/strong> a <strong>schv\u00e1lenie org\u00e1nom spolo\u010dnosti<\/strong> z\u00e1sadn\u00e9. Ak ch\u00fdba zmluva alebo schv\u00e1lenie, vznik\u00e1 riziko neplatnosti ujednan\u00ed \u010di sporov o odmenu.<\/p>\n<h2>Povinnosti \u0161tatut\u00e1ra: odborn\u00e1 starostlivos\u0165, lojalita a z\u00e1konnos\u0165<\/h2>\n<p>\u0160tatut\u00e1r je povinn\u00fd kona\u0165 s <strong>odbornou starostlivos\u0165ou<\/strong>, informovane a v dobrej viere, \u017ee kon\u00e1 v najlep\u0161om z\u00e1ujme spolo\u010dnosti. Zah\u0155\u0148a to:<\/p>\n<ul>\n<li><strong>Starostlivos\u0165 riadneho hospod\u00e1ra<\/strong> \u2013 zodpovedn\u00e9 rozhodovanie, sledovanie riz\u00edk, primeran\u00fd doh\u013ead nad vn\u00fatorn\u00fdmi procesmi, riadenie likvidity a solventnosti.<\/li>\n<li><strong>Lojalitu<\/strong> \u2013 uprednostnenie z\u00e1ujmov spolo\u010dnosti pred vlastn\u00fdmi, predch\u00e1dzanie konfliktom z\u00e1ujmov, transparentn\u00fd postup pri transakci\u00e1ch so spriaznen\u00fdmi osobami.<\/li>\n<li><strong>Dodr\u017eiavanie z\u00e1kona a intern\u00fdch predpisov<\/strong> \u2013 \u00fa\u010dtovn\u00e9 a da\u0148ov\u00e9 povinnosti, korpor\u00e1tne formality (valn\u00e9 zhroma\u017edenia, rozhodnutia spolo\u010dn\u00edkov), evidencia a archiv\u00e1cia dokumentov, ochrana osobn\u00fdch \u00fadajov, BOZP a compliance.<\/li>\n<li><strong>Informovanos\u0165 a reporting<\/strong> \u2013 pravideln\u00e1 a pravdiv\u00e1 inform\u00e1cia pre spolo\u010dn\u00edkov\/dozorn\u00e9 org\u00e1ny o stave spolo\u010dnosti a v\u00fdznamn\u00fdch udalostiach.<\/li>\n<\/ul>\n<h2>Z\u00e1kaz konkurencie a konflikty z\u00e1ujmov<\/h2>\n<p>Vo\u010di \u0161tatut\u00e1rom spravidla plat\u00ed <strong>z\u00e1kaz konkurencie<\/strong> a re\u017eim oznamovania konfliktov z\u00e1ujmov. Na odl\u00ed\u0161enie rozumnej podnikate\u013eskej \u00favahy od zanedbania sa pou\u017e\u00edva princ\u00edp podobn\u00fd \u201ebusiness judgment rule\u201c: ak \u0161tatut\u00e1r rozhodol informovane, bez konfliktu z\u00e1ujmov a v dobrej viere, \u017ee kon\u00e1 v z\u00e1ujme spolo\u010dnosti, spravidla nenesie zodpovednos\u0165 za samotn\u00fd podnikate\u013esk\u00fd ne\u00faspech.<\/p>\n<p>Pri viac\u010dlennom org\u00e1ne m\u00f4\u017ee by\u0165 zodpovednos\u0165 <strong>spolo\u010dn\u00e1 a nerozdielna<\/strong>, ak sa \u010dlenovia na rozhodnut\u00ed podie\u013eali alebo nekonali s potrebn\u00fdm doh\u013eadom. Zmluva m\u00f4\u017ee upravi\u0165 regres medzi \u010dlenmi org\u00e1nu pod\u013ea miery zavinenia.<\/p>\n<h2>Zodpovednos\u0165 vo\u010di verite\u013eom a povinnos\u0165 kona\u0165 v kr\u00edze<\/h2>\n<p>Ak sa spolo\u010dnos\u0165 dostane do \u00fapadku alebo bl\u00edzko \u00fapadku, \u0161tatut\u00e1r mus\u00ed kona\u0165 s osobitnou starostlivos\u0165ou: akt\u00edvne rie\u0161i\u0165 insolven\u010dn\u00e9 rizik\u00e1, prija\u0165 opatrenia na odvr\u00e1tenie \u00fapadku a \u2013 ak s\u00fa splnen\u00e9 z\u00e1konn\u00e9 podmienky \u2013 v\u010das poda\u0165 n\u00e1vrh na vyhl\u00e1senie konkurzu. Zanedbanie tejto povinnosti m\u00f4\u017ee vies\u0165 k <strong>osobnej zodpovednosti<\/strong> \u0161tatut\u00e1ra za \u0161kodu verite\u013eom alebo k sankci\u00e1m pod\u013ea osobitn\u00fdch predpisov. Zmluva by mala explicitne rie\u0161i\u0165 povinnosti pri hrozbe \u00fapadku (okam\u017eit\u00fd reporting spolo\u010dn\u00edkom, z\u00e1kaz vypl\u00e1ca\u0165 zak\u00e1zan\u00e9 plnenia, kr\u00edzov\u00fd pl\u00e1n).<\/p>\n<h2>Poistenie zodpovednosti (D&amp;O) a limity<\/h2>\n<p>Poistenie zodpovednosti \u010dlenov org\u00e1nov (D&amp;O) je d\u00f4le\u017eit\u00fd prvok ochrany. Kryje vybran\u00e9 n\u00e1roky vo\u010di \u0161tatut\u00e1rom za mana\u017e\u00e9rske pochybenia. Pozor na v\u00fdluky (\u00famysel, hrub\u00e1 nedbanlivos\u0165, sankcie), limity poistn\u00e9ho plnenia a spolu\u00fa\u010das\u0165. Spolo\u010dnos\u0165 spravidla zr\u00e1\u017ea preddavky na da\u0148, vedie mzdov\u00e9 listy a rie\u0161i zdravotn\u00e9 a (pod\u013ea okolnost\u00ed) soci\u00e1lne poistenie pod\u013ea aktu\u00e1lnej legislat\u00edvy. Zmluvy musia by\u0165 zos\u00faladen\u00e9 a konfliktom z\u00e1ujmov treba predch\u00e1dza\u0165.<\/p>\n<h2>Ukon\u010denie funkcie, odvolanie a odovzdanie agendy<\/h2>\n<p>\u0160tatut\u00e1ra mo\u017eno zvy\u010dajne <strong>odvola\u0165 ad nutum<\/strong> (kedyko\u013evek, bez udania d\u00f4vodu), ak spolo\u010densk\u00e1 zmluva neustanovuje inak. Funkcia zanik\u00e1 aj vzd\u00e1n\u00edm sa funkcie, uplynut\u00edm doby, smr\u0165ou alebo z\u00e1nikom spolo\u010dnosti.
